Terms of Service

Effective: May 15, 2026 · Last Updated: October 1, 2026 · PreFadr, operated by AIO, Inc.

1. Acceptance of Terms

By accessing or using PreFadr ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a binding legal agreement between you and AIO, Inc., a Texas corporation, the operator of PreFadr.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. YOU ALSO ACKNOWLEDGE THAT THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 14, WHICH AFFECTS YOUR RIGHTS TO RESOLVE DISPUTES.

2. Description of Service

PreFadr is a sync-licensing platform that provides tools for uploading and analyzing tracks, importing releases from streaming catalogs, managing your catalog, creating and managing split sheets, matching and pitching to sync libraries, and tracking those pitches through placement. Certain legacy features may be retired or re-introduced from time to time as the Service evolves.

⚠️ IMPORTANT LEGAL DISCLAIMER: PreFadr is NOT a law firm and does NOT provide legal advice. All documents generated by PreFadr are templates for documentation purposes only. No attorney-client relationship is created by use of this Service. Document templates generated by the Service — including but not limited to split sheets, beat licenses, collaboration agreements, and cue sheets — are provided "AS IS" without any warranty of legal validity, enforceability, or fitness for a particular purpose or jurisdiction. You should consult a qualified music attorney for advice specific to your situation before relying on any generated document for legal or commercial purposes.

3. Eligibility and User Accounts

3.1 Age Requirement.

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years of age.

3.2 Account Security.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at security@synctrack.app of any unauthorized use of your account or any other breach of security.

3.3 Accurate Information.

You agree to provide accurate, current, and complete information when creating your account and to keep this information updated. PreFadr reserves the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Subscription and Billing

4.1 Subscription Plans.

PreFadr offers a free tier with limited features and paid subscription plans ("Solo" and "Studio"). Existing subscribers on discontinued legacy plans (including "Pro") keep the terms in effect when they subscribed. Paid plans are available on a monthly or annual basis through Stripe, a third-party payment processor.

4.2 Billing Authorization.

By subscribing to a paid plan, you authorize PreFadr to charge your payment method on a recurring basis according to the billing cycle you selected (monthly or annual). Your subscription renews automatically at the then-current price until cancelled; you may cancel at any time as described in Section 4.3. All fees are payable in U.S. dollars and are non-refundable except as required by law.

4.3 Cancellation.

You may cancel your subscription at any time through your account settings or by contacting support@synctrack.app. For monthly plans, cancellation takes effect at the end of the current billing period. For annual plans, cancellation takes effect at the end of the current annual billing period. We do not provide refunds for the remaining portion of a billing period upon cancellation, whether monthly or annual.

4.4 Grace Period.

Upon cancellation or non-payment, your account will enter a 6-month grace period during which your data will be retained but access may be limited. After the grace period expires, your data may be permanently deleted in accordance with our Privacy Policy.

4.5 Price Changes.

Prices may change with 30 days advance notice via email or in-app notification. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

5.1 Your Content.

You retain all intellectual property rights in your music, documents, and other content you create or upload to PreFadr ("User Content"). PreFadr does not claim any ownership interest in your User Content.

5.2 Our Platform.

PreFadr and its licensors own all rights in the platform, software, interface, templates, and service itself. You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the PreFadr platform without our written permission.

5.3 License Grant to PreFadr.

By using the Service, you grant PreFadr a limited, non-exclusive, royalty-free license to use, store, and display your User Content solely as necessary to provide the Service to you and to comply with legal obligations.

6. Acceptable Use Policy

You agree not to use PreFadr to:

  • (a) Create, upload, or distribute fraudulent, misleading, or inaccurate rights documentation;
  • (b) Upload or share content that you do not own or have all necessary rights and permissions to use;
  • (c) Harass, intimidate, or impersonate any person, including collaborators;
  • (d) Violate any applicable law, regulation, or third-party right, including intellectual property rights;
  • (e) Circumvent or attempt to circumvent any rate limits, security controls, access controls, or usage restrictions;
  • (f) Scrape, crawl, spider, or use any automated means to access or extract data from the Service;
  • (g) Introduce viruses, malware, or other harmful code;
  • (h) Use the Service for any illegal purpose or to facilitate illegal activity;
  • (i) Make a false or misleading AI-content disclosure, or omit required AI-content disclosure, for any recording submitted to the Service;
  • (j) Misrepresent a recording generated in whole or in part by an AI tool as human-created, or misrepresent a human-created recording's ownership or clearance status to any sync library, supervisor, or other third party.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, in addition to any other remedies available at law or in equity.

7. User Content and Representations

By using PreFadr, you represent and warrant that:

  • (a) You own or have the legal right to use all content you upload or enter into the Service;
  • (b) The ownership percentages, contributor information, PRO affiliations, IPI numbers, and other data you enter are accurate to the best of your knowledge;
  • (c) You have obtained all necessary permissions and consents to enter collaborator information (names, emails, PRO details) into the Service, and such collaborators have consented to receiving communications from PreFadr as necessary for the Service;
  • (d) Your use of the Service does not violate any applicable law or third-party rights;
  • (e) You will not attempt to register a copyright, trademark, or other intellectual property right in any document template provided by PreFadr.
  • (f) Any AI-content disclosure you make through the Service (including the declaration of whether a recording contains no AI-generated material, is AI-assisted, or is AI-generated) is true, accurate, and complete.

PreFadr is not responsible for errors or inaccuracies in user-entered data. The accuracy of all rights documentation is solely your responsibility.

7.6 AI-Generated Content Disclosure.

(a) Disclosure Requirement. For every recording you submit to any pitch, split sheet, or licensing document through the Service, you must complete the AI-content disclosure presented by the Service, accurately indicating whether the recording (i) contains no AI-generated material, (ii) is AI-assisted (a human-created core incorporating some AI-generated elements), or (iii) is AI-generated (substantially produced by an AI tool). This disclosure is part of your rights documentation and accompanies the documents and pitch materials generated from your account.

(b) Accuracy of Disclosure. You represent and warrant that your AI-content disclosure is true, accurate, and complete as of the date made, and that you will update it if the facts change. If you are uncertain whether a recording contains AI-generated material, you must disclose the AI-assisted or AI-generated classification rather than claim the recording contains no AI-generated material.

(c) False or Misleading Disclosure. Making a false, misleading, or omitted AI-content disclosure is a material breach of these Terms and constitutes fraudulent misrepresentation of your User Content. In addition to any remedies available at law or in equity, such a breach entitles PreFadr to: (i) immediately suspend or terminate your account under Section 13; (ii) remove or suppress any documents, pitches, or public links generated from the undisclosed content; (iii) notify recipients of the affected materials (including sync libraries and supervisors) that the AI disclosure was misrepresented; and (iv) seek recovery of costs and damages, including reasonable attorneys' fees, to the extent permitted by the arbitration provisions in Section 14. You remain solely responsible for any claims, damages, or losses suffered by third parties who relied on your false disclosure, and you will indemnify PreFadr under Section 12 for any claims arising from it.

(d) No Detection Warranty. PreFadr does not warrant that it will detect AI-generated material in any recording, and the absence of a detection flag is not a representation that a recording is human-made. The AI-content disclosure is your declaration, and its accuracy is solely your responsibility. PreFadr may, in its discretion, review or spot-check disclosures, but has no obligation to do so.

(e) One-Stop Claims. You may not mark a recording as one-stop clearable while declaring it AI-generated, unless and until all human writers and performers who created or performed on the recording are credited on the split sheet and have approved the use. The Service may prevent or reverse such claims automatically.

8. Disclaimer — Not Legal Advice

⚠️ CRITICAL DISCLAIMER: PreFadr generates document templates for informational and documentation purposes only. Generated documents — including split sheets, beat licenses, collaboration agreements, and cue sheets — are NOT a substitute for advice from a licensed attorney. PreFadr makes no representation or warranty that any generated document is legally valid, enforceable, or appropriate for your specific situation or jurisdiction. Music law, copyright law, and contract law vary significantly by country, state, and locality. Always consult a qualified music attorney before relying on any document for legal, financial, or commercial purposes. Use of generated documents is at your sole risk.

9. Digital Approvals and Electronic Signatures

9.1 E-SIGN Compliance.

PreFadr provides approval link functionality that creates a timestamped record when a party clicks "Approve" on a document. Under the Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA), electronic signatures and records are generally legally valid in the United States when parties have agreed to conduct transactions electronically.

9.2 No Guarantee of Enforceability.

However, the legal enforceability of any digital approval depends on the specific circumstances, applicable law, jurisdiction, and whether all elements of a valid contract (offer, acceptance, consideration) are present. PreFadr makes no guarantee that any digital approval constitutes a legally binding signature under all applicable laws in all jurisdictions.

9.3 Your E-SIGN Consent.

By using the approval feature, you consent to the use of electronic records and signatures. You may withdraw this consent by contacting us, but withdrawal does not affect the validity of electronic records prior to withdrawal.

9.4 System Requirements.

To access and retain electronic records, you will need: (a) a device with internet access; (b) a current web browser (Chrome, Safari, Firefox, or Edge); (c) an email account; and (d) the ability to print or download records.

10. Audio File Storage and DMCA

10.1 Audio Uploads.

PreFadr allows users to upload audio files for attachment to split sheets and pitch links. By uploading audio, you represent and warrant that you own the copyright in the recording or have all necessary rights and permissions to upload and share it.

10.2 No Ownership Claim.

PreFadr stores audio files solely to provide the Service. We do not claim ownership of uploaded audio, do not use it for AI training, and do not share it with third parties except as necessary to provide the Service or comply with legal process.

10.3 DMCA Safe Harbor.

PreFadr qualifies as a service provider under the Digital Millennium Copyright Act (DMCA, 17 U.S.C. § 512) and will respond to valid takedown notices submitted in accordance with this section.

10.4 DMCA Agent.

The designated agent for receipt of DMCA notices is:

DMCA Agent
AIO, Inc.
4798 Benbrook Blvd, Benbrook, TX 76116
Email: dmca@synctrack.app

10.5 Takedown Notice Requirements.

To be effective, a DMCA takedown notice must include:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the material to be removed (including URL)
  • Your contact information (address, phone, email)
  • A statement that you have a good faith belief the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
10.6 Counter-Notice.

If you believe material was removed in error, you may submit a counter-notice containing:

  • Your physical or electronic signature
  • Identification of the removed material and its location before removal
  • A statement under penalty of perjury that you have a good faith belief the material was removed by mistake
  • Your name, address, phone, and email
  • A statement that you consent to the jurisdiction of the federal district court in your district (or any district if outside the U.S.)

11. Limitation of Liability

11.1 Cap on Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREFADR'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO PREFADR IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11.2 Exclusion of Consequential Damages.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREFADR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Exceptions.

Nothing in these Terms limits or excludes liability for: (a) gross negligence or willful misconduct; (b) fraud or fraudulent misrepresentation; (c) death or personal injury caused by negligence; or (d) any liability that cannot be limited or excluded under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PreFadr, AIO, Inc., and their officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

13.1 By You.

You may cancel your account at any time through your account settings or by contacting support@synctrack.app.

13.2 By Us.

PreFadr may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise inappropriate. We will make reasonable efforts to notify you of termination.

13.3 Effect of Termination.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

14. Governing Law and Dispute Resolution

14.1 Governing Law.

These Terms are governed by the laws of the State of Texas, United States of America, without regard to conflict of law principles.

14.2 Arbitration Agreement.

Any dispute arising from or related to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Travis County, Texas, unless otherwise agreed.

14.3 Jury Trial Waiver.

YOU AND PREFADR WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

14.4 Class Action Waiver.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PREFADR. Any arbitration shall be conducted on an individual basis only.

14.5 Exceptions to Arbitration.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for: (a) intellectual property infringement; (b) violation of confidentiality obligations; or (c) urgent matters where arbitration would be inadequate.

14.6 Opt-Out.

You may opt out of this arbitration agreement by sending written notice to legal@synctrack.app within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

15. Force Majeure

PreFadr shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, shortages of transportation, communications, or power supply, or failures of third-party service providers (including hosting providers, payment processors, or AI service providers).

16. Changes to Terms

PreFadr may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification before changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. The most current version will always be available at prefadr.com/tos.

17. General Provisions

17.1 Severability.

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

17.2 No Waiver.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

17.3 Entire Agreement.

These Terms constitute the entire agreement between you and PreFadr regarding the Service and supersede all prior agreements, negotiations, and understandings.

17.4 Assignment.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
